Mergers & Acquisitions

We act on UK and cross-border M&A transactions on the buy-side as well as the sell-side for a range of businesses including large PLCs, international groups, family businesses, professional services firms and entrepreneurs. We regularly advise on private equity backed acquisitions as well as sales to private equity buyers.

We pride ourselves on our specialist sector knowledge and the depth and close-knit nature of our team. This team ethic extends to the relationships we aim to build with our clients and their other advisors, working closely to structure and execute the deal in a way that meets the long-term commercial objectives.

Our role on a deal will vary depending on the nature of the transaction and the party we are acting for. Examples include:

• Acquisitions: acting for buyers on strategic, bolt-on and other acquisitions, including undertaking due diligence and advising on deal structuring.  We also regularly act for management on buy-outs and buy-ins.
• Sales: helping founders, corporate and private equity sellers prepare their businesses for sale, including working closely with corporate finance advisors in running a sale process (including via auction). 

We are well versed in the use of warranty and indemnity insurance in transactions.

We can also advise on and implement reorganisations, re-financings and management incentives, working with our clients to develop pragmatic and tax-efficient commercial solutions. We regularly bring in expertise from across the firm including banking & finance, tax, employment and IP.
