We guide clients through the delivery of often complex reorganisations and demergers to help them meet a range of operational and strategic objectives.
Companies can decide to undertake a reorganisation, restructure or demerger for a wide range of reasons. These can include preparing for sale, to facilitate further investment, to provide an exit strategy for shareholders or to effect a takeover. It can also be about driving operational or tax efficiencies or, for a family business, to help with succession planning.
We have significant expertise across all the legal requirements of the process and regularly work with management teams to advise on different restructuring options and to negotiate any agreements that may be needed. We can also advise on wider legal issues that may arise including those related to management incentives and shareholdings, employment law, intellectual property and wider corporate governance and regulatory requirements.
We work closely with all relevant parties to gain a comprehensive understanding of the commercial objectives and to identify any areas of concern that may need to be considered during the restructuring process. Our aim is to provide the best solution through careful planning grounded in the right corporate structure and making use of the appropriate tax reliefs.
