We work with businesses looking to raise capital through a public listing ensuring that they meet the complex regulatory and compliance requirements involved.
We advise businesses directly as well as working with investment banks, sponsors, nominated advisors, brokers and other financial institutions. Our clients tend to be high growth businesses that look to list on the UK’s AIM market; where we advise on initial public offerings, takeovers, cash confirmations and secondary fundraisings.
Our role typically covers due diligence and drafting and negotiating legal agreements, as well as advising on the structure of equity offerings, terms and conditions of placings, open offers and rights issues and how to mitigate potential liability risks.
We also advise on the various regulatory and compliance requirements in place to protect investors and to ensure the timely publication of inside information. These include market specific rules like the AIM Rules for Companies as well as the Listing Rules, the Disclosure Guidance and Transparency Rules, the UK Market Abuse Regulation and the UK City Code on Takeovers and Mergers.
