Biography

Clare is a Legal Director in the Corporate Team. She advises on a wide range of corporate work, specialising in corporate restructuring.

Clare has a particular focus on corporate restructuring and advises on capital reductions, share capital and distributions, share buy backs, shareholders agreements, articles of association, company meetings, directors' duties and conflicts of interest.

Her clients include start-up businesses, family businesses, larger SMEs, individual directors and shareholders, public companies, public sector bodies, property management companies and companies limited by guarantee.

Relevant experience

  • Private company: Advising a large family company on a group reorganisation to demerge 4 separate businesses.
  • Advising a property company on a complex restructure to separate the business into seven separate businesses in a tax neutral way, involving business transfers, dividends in specie, capital reductions and a demerger.
  • SME: Advising an SME in relation to shareholder issues on the exit of a director including a bonus issue and capital reduction to create reserves and buy back of shares.
  • Manufacturing business: Advising the client on a substantial group re-organisation involving the transfer of assets between group companies.
  • Property developer: Advising a large property developer on the set up of a property management company and bespoke arrangements over its control of the company throughout the development.
