Biography

Stuart is a Partner in the Corporate team advising on public and private company mergers and acquisitions, Initial Public Offerings, secondary fundraisings, joint ventures and private fund structures.

His experience includes handling a range of cross-border as well as domestic UK transactions.

Stuart advises clients across a range of different industries and jurisdictions, including companies in the financial services, defence, technology and property development sectors.

Stuart has particular experience of advising on the UK Prospectus Rules, the AIM rules for Companies, the City Code on Takeovers and Mergers, the Financial Services and Markets Act and the FCA’s Handbook of Rules and Guidance insofar as it applies to corporate finance and advisory businesses.

Prior to joining Ashfords, Stuart was a Partner in the London office of a US law firm where he worked on a range of domestic and cross-border transactions for international clients.

Relevant experience

  • Curtis Banks Group plc: Advising on a £25 million cash box placing on AIM.
  • Flybe Group plc: Advising on a £22.5 million reduction of capital.
  • Family investment office: Advising on its exit from a PE Fund Manager and sale of its carried interest in each of the Funds raised by the PE Fund Manager.
  • Certain Hastings shareholders: Advising on a £99 million block-trade of shares in Hastings Group Holdings plc.
  • W Real Estate Ltd: Advising on its proposed Jersey property fund.
  • W Real Estate Ltd: Advising on the acquisition of the shares in Underwood Street Limited (owning Underwood Works, 6-14 Underwood Street, London and joint venture providing equity finance for the transaction.
  • Ashford Borough Council: advising on a joint venture with Quinn Estates Limited relating to the Ashford International Studios Project for the regeneration of a brownfield site and former railway works into a film and TV studios, housing and commercial space.
  • Pittards plc. Advising on a share reorganisation and placing on AIM.
  • DP Poland plc: Advising on its establishment and admission to AIM by way of a placing of shares.
  • Selling shareholders: Advising on the €130 million disposal of Activaero GmbH to Vectura Group plc.
