Corporate Governance

Ashfords' Corporate Governance Team provides practical, straight forward advice and assistance to businesses and the people who direct and control them on all aspects of corporate governance.

The burden of increased regulation affects all businesses in the UK. We have extensive experience advising a wide range of clients, including companies, charities, directors, managers, not for profit organisations and shareholders.

Specialist areas:
  • Directors' duties, liabilities and powers;
  • Constitutional issues and regulatory compliance;
  • Shareholders' meetings;
  • Transactions with directors; and
  • Proxy voting rights.
Recent work undertaken includes:
  • Advice to a landlord on the transfer of a property management company in connection with a shared ownership property scheme;
  • Advice to private and public companies on amendments required to their articles of association, to ensure consistency with the Companies Act 2006 and to take best advantage of its provisions;
  • Advice to a sports organisation on the amendment of its constitution regarding the appointment of its directors;
  • Advice to a higher education establishment on the rights and duties of the directors of a spin out company;
  • Advice to directors on the purchase of assets from their company; and
  • Advice to a community interest company on its constitution.
