Company Mergers

Although less common, company mergers involve the same considerations as a sale or purchase of a company. In a merger situation, one party may often be in a more dominant position and it will be essential at the outset to seek advice as to the control and management of the new merged business. This may often be dealt with by way of a shareholders agreement or a joint-venture agreement which will deal with performance issues, dispute resolution and exit strategies.
