Introduction

Buying or selling a business or shares in a company can be a detailed and complex process. A Buyer will want to have a full understanding of the target business and have protection for unknown liabilities. Sellers will want to limit their liability to specific considered matters. Ashfords have vast experience of local, national and international business and company sale and purchase transactions. With such wide ranging experience, our lawyers are able to manage the process under set timeframes and lead negotiations regarding the allocation of risk between the parties.

As well as transaction structuring and negotiation, our lawyers are able to assist the Buyer's due diligence process in relation to the target business and advise on specific Buyer protection warranties.  When acting for Sellers, our lawyers can advise on Seller protection provisions in the transaction agreements and disclosure of key matters against warranties to limit the Sellers' liability.
