Companies Act 2006 - Delayed Implementation

Introduction

A further tranche of the Companies Act 2006 was due to come into force on 1 October 2008 This has been delayed by a year.

As a result of, amongst other things, the fact that Companies House systems will not be in place to address the requirements of the new sections of the Companies Act 2006 (CA 2006) by 1 October 2008, the Department for Business, Enterprise and Regulatory Reform has announced that most of the provisions of the CA 2006 due to come into force on 1 October 2008 will now come into force on 1 October 2009. The delayed provisions include those in relation to :

  • Company formation and constitution (for example the new model Articles of Association);
  • Directors' residential addresses (Director's will have a right to have a service address for documents on public record at Companies House rather than having to provide their residential address as is currently the case);
  • Company and business names (a new section regulating the choice of a company's name);
  • A Company's share capital (there are a number of proposed practical and procedural changes to the maintenance of share capital laws).
